GENERAL WAIVER

 

As the parent or legal guardian of the RDA Trainee being registered, (if the trainee is under 18 years of age at the time of their registration at RDA), or I am the trainee being registered (as I am 18 years or older at the time of registration at RDA), by indicating your acceptance, you understand, agree, warrant and covenant as follows:

 

I hereby grant the applicant permission to train and play football (soccer) as a member of RDA and understand that the registration fee does not include medical insurance coverage.

 

I agree to release and indemnify the Red Devils Academy (RDA), it’s officers, members and partners from any claims arising from injuries incurred by the applicant while participating in the regular training, RDA Team play, Showcase sessions and any other activities that are organized and/or involve participation as a member of RDA.

 

The Red Devils Academy (RDA) will not be held responsible and liable for any pre-existing medical condition of any nature.

 

I also agree to abide by all the rules, Code of Conduct, regulations and decisions of the Red Devils Academy (RDA). I further agree to not engage any trainee including my own children in any actions that would distract from the regular training regimens. I also agree never to engage any trainee including my own children in any discourse or discussion of any kind while they are under the care of RDA and in session. 

 

I further agree that continuous abuse of the above policy can and will result in the expulsion of the offenders from all and future RDA sessions without prejudice. 

 

I also understand that failure to adhere to the Terms and Conditions as outlined can and will result in removal from participation in the regular training, RDA Team play, Showcase sessions and any other activities that are organized and/or involve participation as a member of RDA without prejudice.

 

I agree to be financially resposible for any damages to any facility that RDA holds permits for if those damages were incurred by players, siblings and relatives that I am legally responsible for and/ or myself. I also agree to reimburse RDA for any damages that require repair as well as any financial penalties that may result from those damages causing RDA to lose the use of the said facilities. I also agree to reimburse RDA for any financial penalties that may result from any malfeasant conduct by players, siblings and relatives that I am legally responsible for and/ or myself causing RDA to lose the use of the said facilities.

 

I also understand that there will be no refunds issued from any tryout or Assessment after payment has been made.

 

I represent that I am the parent or legal guardian of the RDA Trainee being registered, (if the trainee is under 18 years of age at the time of their registration at RDA), or I am the trainee being registered (as I am 18 years or older at the time of registration at RDA) and have read and understand the foregoing statement and am competent to execute this agreement.

 

 

 

ACCEPTANCE OF TERMS AND CONDITIONS

 

1. I have reviewed the waiver/participation agreement attached and my signature affixed hereto indicates my agreement with such waiver/participation agreement.

2. I am aware of the Red Devils Academy (RDA) Code of Conduct, bylaws, policies, rules and regulations and agree to abide by them and to be bound by them.

3. I accept sole responsibility for my child/ward’s personal possessions and athletic equipment.

4. I accept all liability for any damage to the playing equipment caused by me or my child/ward’s careless, negligent and/or improper handling.

 

I acknowledge that I have read this registration agreement in its entirety and that I have executed this registration agreement voluntarily and without prejudice.

 

I represent that I am the parent or legal guardian of the RDA Trainee being registered, (if the trainee is under 18 years of age at the time of their registration at RDA), or I am the trainee being registered (as I am 18 years or older at the time of registration at RDA) and have read and understand the foregoing statement and am competent to execute this agreement.

 

 

 

MEDICAL AND LIABILITY WAIVER

 

 

ALL PROGRAMS AND ACTIVITIES HAVE RISKS.

 

I participate in the game of soccer because it is physically and mentally challenging.  In consideration of my participation in such programs, activities and events, I hereby acknowledge that I am aware of the risks and hazards associated with or related to this activity.  The risks and hazards include, but are not limited to:

 

• Injuries from executing strenuous and demanding physical techniques in soccer;

• Injuries from dry land training including weights, running and massage:

• Injuries from grass, turf and other surfaces including bacterial infections and rashes;

• Injuries resulting from falls to the ground due to uneven or irregular terrain or surface;

• Injuries from collisions and soccer equipment;

• Injuries resulting from failure to properly use any piece or equipment or from mechanical failure of any piece of equipment;

• Spinal cord injuries which may render me permanently paralyzed;

• Injuries from extreme weather conditions which may result in heatstroke, sunstroke or hypothermia;

• Injuries from contact, colliding or being struck by other participants, spectators, equipment or vehicles;

• Injuries resulting from vigorous physical exertion and strenuous cardiovascular workouts;

• Injuries from exerting and stretching various muscle groups; and

• Travel to and from competitive events and associated non-competitive events which are an integral part of the organization’s activities.

Furthermore, I am aware:

 

• That injuries sustained in soccer can be severe;

• That I may experience anxiety while challenging myself during the activities.

• That I may come into close contact with other participants, including the possibility of accidental and unexpected contact;

• That my risk of injury is reduced if I follow all rules established for participation; and

• That my risk of injury increases as I become fatigued.

 

I AGREE TO BE RESPONSIBLE FOR MYSELF.

 

I am participating voluntarily in these activities, events and programs.  I agree that there are risks in soccer as described above.  By participating voluntarily in these events, activities and programs, I am exposed to these risks and hazards.  I agree to accept them and be responsible for any injury or other loss which I might receive while participating in these events, activities and programs.

 

In the event that something happens to me, I release the organizers of responsibility for any claims, demands, actions and costs which might arise out of my participation.  In this Agreement I understand “organizers” to mean: The Red Devils Academy (RDA), it’s affiliate associations and their directors, officers, members, employees, volunteers, officials, participants, clubs, agents, sponsors, owners/operators of facilities and representatives.

 

PRE-EXISTING INJURIES OR CONDITIONS

 

RDA, its agents and affiliates, will not be held responsible for preexisting injuries or conditions that occurred prior to participating in any RDA training program and/or tryout session.

 

Disqualification due to a preexisting problem is at the discretion of the Staff at RDA. Failure to report and document preexisting medical problems releases RDA from any liability in the event of another problem caused by the initial problem.  RDA will not be financially responsible for medications for preexisting conditions or for non-athletic injuries or conditions such as asthma, allergies, diabetes, etc.  These conditions should be reported to the Staff at RDA prior to attending any session and/ or tryouts being run or hosted by RDA.

 

Full and complete disclosure of all preexisting medical and non-medical conditions is the absolute responsibility of the trainees and their legal guardians where applicable. RDA can and will disqualify any applicant that refuses to divulge these conditions and may apply a financial penalty for the trainee’s failure to do so.

 

The financial penalty will be at the discretion of the Staff at RDA and will be based on costs and fines associated with the trainee’s failure to disclose any preexisting medical and non-medical conditions that bring the reputation of RDA into disrepute.

 

AGREEMENT OF RELEASE AND WAIVER OF LIABILITY- FITNESS

 

This section covers all fitness classes offered by RDA.

 

Please read the following and initial each paragraph where applicable:

 

I, the parent or legal guardian of the RDA Trainee being registered, if the trainee is under 18 years of age at the time of their registration at RDA, or I, the trainee being registered as I am 18 years or older at the time of registration at RDA, hereby agree to the following:

 

That I am participating in Yoga, Pilates, Zumba, Personal Training or other workshops offered by RDA, during which I receive information and instruction. I recognize that these classes and workshops may require physical exertion, which may be strenuous and could result in physical injury, and I am fully aware of the risks and hazards involved.                                           

 

I understand that it is my responsibility to consult with a physician prior to and regarding my participation in classes, workshops, and therapies. I represent and warrant that I am physically fit and I have no medical condition that would prevent my full participation in these classes, workshops and therapies.                                                     

I agree to assume full responsibility for any risks, injuries or damages, known or unknown, which I might incur as a result of participating in the program. I agree to inform my instructor of any physical limitations, physical discomforts and/or injuries before or during classes, and I take full responsibility for nondisclosure.                                                 

I further agree that I will provide a certified Medical Certificate authorizing me to participate in the classes, workshops and therapies provided by RDA if I have been hospitalized, under doctor’s instructions, taking prescribed medication, or I am aware of any prior or current medical condition that has required or may require hospitalization, doctor’s prescribed care or medication.                                                                                                                   

Failure to provide the requested Medical Certificate will disqualify me from participation in any RDA sessions until such certificate is presented accordingly.                                                                    

 

In further consideration of being permitted to participate in classes, workshops, and therapies, I knowingly, voluntarily and expressly waive any claim I may have against RDA for injury or damages that I may sustain as a result of participating in this program.

                                       

I have read the above release waiver of liability and fully understand its contents. I voluntarily agree to its contents. I voluntarily agree to the terms and conditions stated above.

I, the parent or legal guardian of the RDA Trainee being registered, (if the trainee is under 18 years of age at the time of their registration at RDA), or I am the trainee being registered (as I am 18 years or older at the time of registration at RDA) have read and understood the terms and conditions of this waiver and I am agreeing to abide by these terms.

 

 

 

RDA RELEASE WAIVER FOR MEDIA RECORDING

 

I, the parent or legal guardian of the RDA Trainee being registered, (if the trainee is under 18 years of age at the time of their registration at RDA), or I am the trainee being registered (as I am 18 years or older at the time of registration at RDA), do hereby consent and agree that the Red Devils Academy (RDA), its employees, or agents have the right to take photographs, videotape, or digital recordings of players and trainees who are registered at RDA and to use these in any and all media, now or hereafter known, and exclusively for the purpose of scholarship information, marketing and promotion of the Red Devils Academy (RDA) and the registrant.

 

I further consent that my name and identity may be revealed therein or by descriptive text or commentary.

 

I do hereby release to Red Devils Academy (RDA), its agents, and employees all rights to exhibit this work in print and electronic form publicly or privately and to market and sell copies.

 

I waive any rights, claims, or interest I may have to control the use of my identity or likeness in any media used.

 

I understand that there will be no financial or other remuneration for recording my image or likeness, either for initial or subsequent transmission or playback.

 

I also understand that Red Devils Academy (RDA) is not responsible for any expense or liability incurred as a result of my participation in this recording, including medical expenses due to any sickness or injury incurred as a result.

 

I represent that I am the parent or legal guardian of the RDA Trainee being registered, (if the trainee is under 18 years of age at the time of their registration at RDA), or I am the trainee being registered (as I am 18 years or older at the time of registration at RDA) and have read and understand the foregoing statement and am competent to execute this agreement.

 

 

 

SECRECY AND NON-DISCLOSURE COVENANT

 

The undersigned Player or Guardian (the “Player/ Guardian”) of RDA (the “Academy”) hereby promises the Academy:

 

1. to keep the Academy’s business secrets, including but not limited to customer, supplier, logistical, financial, research, academic, athletic and development information, confidential and not to disclose the Academy’s business secrets to any third party during and after the term of the Player/ Guardian’s contract;

2. all players who are being considered for any Program provided by RDA (Showcases, University and College Placement, European or South American Club Placement, etc.) must be enrolled in full-time RDA training either with RDA or an RDA affiliated Club/ Academy/ College and University;

3. any player who is introduced to any Club/ Academy/ College and University hereby acknowledges that they will not seek at any time to establish contact with the Club/ Academy/ College and University or accept any placement with the Club/ Academy/ College and University without the written approval of RDA for a period of 2 calendar years from the date that the introduction has been made by RDA;

4. failure to disclose unauthorized contact with the Club/ Academy/ College and University after introduction by RDA, will results in RDA seeking compensation for the breach of this agreement. The amount of compensation will be determined by RDA and will be dependent on the severity of the breach of confidence and the breach of this agreement. RDA also retains the right to seek legal redress regarding the breach of confidence and of this agreement;

GENERAL NON-COMPETITION CLAUSE

 

2. that, on the termination of the Player/ Guardian’s contract with the Academy for any reason, the Player/ Guardian will not operate any type of business or in any way aid and assist any other person to operate such a business within a 275 miles radius of our present business location for a period of 7 years from the date of termination of the Player/ Guardian’s contract;

 

SPECIFIC ACCOUNT NON-COMPETITION CLAUSE

 

3.  that, on the termination of the Player/ Guardian’s contract with the Academy for any reason, the Player/ Guardian will not solicit any customer of the Academy that was a customer of the Academy during the course of the Player/ Guardian’s contract with the Academy, whether or not still a customer of the Academy and whether or not knowledge of the customer is considered confidential information, or in any way aid and assist any other person to solicit any such customer for a period of 7 years from the date of termination of the Player/ Guardian’s contract;

 

GENERAL TERMINATION CLAUSE

 

4.  that, violation of the terms of the Secrecy and Non-Disclosure Covenant will be considered just cause for but not limited to, the forfeiture of any and all fees paid to the Academy forthwith;

 

5.  that, violation of the terms of the Secrecy and Non-Disclosure Covenant will be considered just cause for but not limited to, the forfeiture of any and all services the Player/Guardian has been contracted forthwith;

 

If any part of these promises is void for any reason, the undersigned accepts that it may be severed without affecting the validity or enforceability of the balance of the promises.

 

 

 

GENERAL AGREEMENT FOR THE ASSIGNMENT OF DEVELOPMENTAL CLUB/ ACADEMY

 

 

THE PARTIES TO THIS AGREEMENT ARE:

 

 

The Academy/ Club: 

 

Red Devils Academy o/a RDA

Mississauga, ON

 

               

The Assignee: 

 

Player being assigned 

                                  

 

Description of the Agreement:

 

1. The Academy/ Club warrants that the Assignee herby acknowledges RDA as the Development Academy and Club that has sole rights to the Assignee for the training and development for the Assignee.

 

1. The Assignee further acknowledges that RDA will be designated as the Development Academy/ Club for any residuals and payments owed to the Development Academy/ Club by any club or academy that the Assignee is training, trialing or playing under contract with.

 

1. The Assignee further acknowledges that they have full power to enter into this Agreement and that this Agreement does not infringe the rights of any third party.

 

1. The Parties agree that this Agreement shall be binding upon the legal successors and assigns.

 

1. The Academy/ Club agrees to sign all necessary papers to procure registration of, or as further necessary to effect the assignment under this Agreement, as and where necessary.

 

1. In consideration of this Assignment of Development Academy/ Club the Academy/ Club acknowledges receipt of due and sufficient consideration.

 

1. The Assignee further agrees to allow RDA unrestricted use of their images for use in marketing, promotions and advertisements. The Assignee further agrees to allow RDA unrestricted use of their name for use in marketing, promotions and advertisements.

 

1. The Assignee hereby acknowledges that by their signature they agree to a full non-disclosure of any and all RDA programs and activities relating to the opportunities being presented and will only release any and all information as directed by the Staff at RDA and at the discretion of the Staff at RDA.
